NON DISCLOSURE

NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into as of the date of acceptance by and between:

Zenzo Connect (“Disclosing Party”), and the individual or entity accessing the Zenzo Connect demo (“Receiving Party”).

1. PURPOSE

The Disclosing Party possesses confidential and proprietary information regarding its application, services, and business model. The Receiving Party agrees to maintain confidentiality regarding any disclosed information.

2. CONFIDENTIAL INFORMATION

“Confidential Information” includes, but is not limited to:

  • Business strategies, plans, and processes.
  • Software, code, designs, and functionalities of the Zenzo Connect platform.
  • Financial, technical, or marketing information.
  • Any other non-public information related to Zenzo Connect.

3. OBLIGATIONS OF RECEIVING PARTY

The Receiving Party agrees to:

  • Keep all Confidential Information strictly confidential.
  • Not disclose, reproduce, distribute, or use Confidential Information for any purpose other than evaluating Zenzo Connect.
  • Take reasonable measures to protect Confidential Information.

4. EXCLUSIONS

Confidential Information does not include information that:

  • Becomes publicly available without breach of this Agreement.
  • Was lawfully obtained from a third party without confidentiality obligations.
  • Is independently developed without reference to the Disclosing Party’s information.

5. TERM AND TERMINATION

This Agreement remains in effect from the date of access to the Zenzo Connect demo and continues for a period of two (2) years. Obligations of confidentiality survive termination of this Agreement.

6. RETURN OR DESTRUCTION OF MATERIALS

Upon request, the Receiving Party shall return or destroy all Confidential Information received from the Disclosing Party.

7. NO LICENSE OR RIGHTS

This Agreement does not grant any rights to patents, copyrights, trademarks, or any other intellectual property.

8. GOVERNING LAW

This Agreement shall be governed by and construed under the laws of Uganda

9. GENERAL PROVISIONS

  • Any breach of this Agreement may result in legal action.
  • This Agreement constitutes the entire agreement between the parties concerning Confidential Information.
  • Amendments must be in writing and signed by both parties.

By accessing Zenzo Connect, the Receiving Party agrees to the terms of this Non-Disclosure Agreement.
